1. About us
These terms govern your use of the Misy mobile application and website (the "App"). By accessing or using the App, you agree to be bound by these terms. If you do not accept them, you may not use the App.
We may amend these terms. Material changes will be notified in the App. Continued use after publication constitutes acceptance of the amended terms.
2. Purpose and acceptance
You must be at least 18 years old and have legal capacity to contract. You may not use the App if Misy has suspended your access.
"Third-Party Providers" are independent carriers (taxi, bajaj drivers, etc.) using the App. Misy acts as a technology intermediation platform between you and these providers: Misy does not itself provide transport. Providers are independent contractors, not employed by Misy, free to accept or decline a request. A mutual rating may be offered and may affect future matching.
3. Changes to the terms
Some features require an account. You are responsible for keeping your credentials confidential and for all activity under your account, and must notify us promptly of any unauthorised use. Misy is not liable for damage resulting from your own failure to secure your account.
7.1 By the driver — free of charge if: the passenger does not show up at the agreed point within 10 minutes, does not answer calls/messages, provides incorrect location, or behaves dangerously.
4. Eligibility

7.3 Refund — if the driver cancels, the passenger is refunded the prepaid amount.
5. Matching service (third-party providers)
7.4 Start — the ride starts at pick-up; cancellation after that point remains payable.
You agree to use the App lawfully. You must not damage or disrupt it, nor attempt unauthorised access to Misy's or third parties' systems.
6. Misy account
It is also strictly prohibited to create fake rides, to simulate, inflate or record fictitious trips, to use fake accounts or fake passengers, or to manipulate the service in any way in order to obtain an undue benefit (bonus, incentive, reward or payment).
You may submit content (reviews, photos…). You retain ownership. You grant Misy a non-exclusive, royalty-free, worldwide licence to use this content solely to operate and promote the service, for as long as necessary for those purposes. This licence ends when you delete the content or your account, subject to backups and legal obligations. You warrant that you hold the rights to such content.
7. Cancellation
Using the App as a partner driver is subject to these terms and the partnership agreement. The driver is solely responsible for a valid licence, vehicle insurance and fitness to drive, and must comply with passenger-transport regulations.
10.1 Misy's obligations — provide the matching app; pay the driver weekly the amount of rides completed through the App, less a 15% commission; provide a secure personal area (history, earnings).
8. Use of the App
10.2 Driver's obligations — comply with regulations (licence, insurance, safety); provide quality service; keep the vehicle in good condition; pay the 15% commission; settle any negative balance.
Fares are set by Misy and may change. Misy may suspend or terminate access for breach.
9. User content
10.3 Bonuses, incentives and rewards — any bonuses, incentives and rewards are granted at Misy's sole discretion, for genuine, completed rides that comply with these terms. Misy reserves the right, at its sole discretion, to invalidate any suspicious or fraudulent ride, to cancel or claw back any bonus wrongly received, and to suspend or terminate the account, in the event of a fictitious or fraudulent ride, manipulation of the system or breach of these terms.
The App, its code, graphics, logos, images and text are protected and belong to Misy or its licensors. You may not reproduce, modify, distribute or sell them without authorisation.
10. Driver partnership
Accident — Misy uses reasonable means for user safety but cannot be held liable for any accident or personal/material damage arising from the transport service, which is provided by independent providers.
Driver — solely responsible for driving, road-traffic compliance and passenger safety.
11. Intellectual property
Passenger — must follow safety instructions and is responsible for personal belongings.
In case of accident — immediately contact emergency services and police, then inform Misy as soon as possible.
12. Liability
Insurance — drivers must hold insurance covering third-party damage.
Limitation — to the extent permitted by law, Misy's liability shall not exceed the amounts received by Misy for the relevant service. Nothing limits liability that cannot be limited under applicable law.
13. Indemnification
You agree to indemnify Misy against any claim arising from your use of the App in breach of these terms or the law.
You may terminate your account at any time from the App or by contacting us. Misy may suspend or terminate your access for breach. Clauses intended to survive (intellectual property, liability…) remain in force after termination.
14. Termination
These terms are governed by Malagasy law. Any dispute falls under the competent courts of Madagascar, without prejudice to mandatory consumer-protection provisions.
These terms constitute the entire agreement between you and Misy regarding the App. If a clause is held invalid, the others remain in effect. You may not assign your rights without Misy's written consent; Misy may assign its rights in a reorganisation or business transfer.
